Agreement to these terms

These Terms of Service govern the use of this website and the integration, relay check, watch window and handover services provided by NEC Networks & System Integration Corporation (Singapore Branch) from its Paya Lebar control room at 140 Paya Lebar Rd, #08-14 A-Z Bldg, Singapore 409015, Singapore (SG). By using this website or by engaging us for a service, you agree to these terms on behalf of yourself and, where applicable, the organisation you represent.

If you do not agree to these terms, please do not use this website and do not engage us for a service. If you are entering into these terms for an organisation, you confirm that you have the authority to bind that organisation, and references to you in these terms include that organisation.

These terms apply together with any written proposal, quotation, statement of work or signed agreement between us. Where a signed agreement says something different from these terms, the signed agreement takes priority for the subject it covers.

Definitions

In these terms, the Company means NEC Networks & System Integration Corporation (Singapore Branch). We, us and our refer to the Company. You and your refer to the person or organisation engaging the Company or using this website.

Services means the integration sheet, relay check, handover note, uptime watch, site survey review and cut-over sitting work described on this website, together with any related work set out in a quotation or statement of work. Control room means the Paya Lebar room from which the Company delivers the services. Deliverables means the records and materials the Company provides to you, including integration sheets, duty logs, watch window summaries and handover notes.

Business day means a day other than a Saturday, Sunday or public holiday in Singapore. Written notice includes email sent to the address set out in the contact section of these terms.

Our services

The Company provides control room integration services for clients in computer systems design and related professional, scientific and technical fields. The services include integration sheet bays, relay check runs, handover note desks, uptime watch windows, site survey review rounds and cut-over sittings. Each service is delivered from the Paya Lebar control room and is recorded in the project file.

We describe the services on this website for information. A description on the website is not an offer to provide the service at a particular price or within a particular time. The scope of any engagement is set out in the quotation or statement of work that we issue and that you accept.

We may use subcontractors or specialist partners to deliver part of the services. Where we do, we remain responsible to you for the delivery of the work and for the conduct of the subcontractor. We tell you before a subcontractor attends your site where the nature of the work makes this appropriate.

We do not provide legal, financial or medical advice, and nothing on this website should be read as such advice. If you need advice of that kind, please consult a suitably qualified professional.

Quotations and bookings

A quotation is valid for the period stated on it, or for thirty days from the date of issue if no period is stated. A quotation is not a reservation of the control room or of a particular engineer. A booking is confirmed only when we accept it in writing and, where we require it, when a deposit has been received.

We prepare quotations on the basis of the information you give us. If that information turns out to be incomplete or inaccurate, we may need to revise the quotation and the schedule. We will tell you promptly if this happens and we will explain the reason for any change.

Where a booking depends on a site visit, the booking is confirmed only after the site survey review round has taken place and both parties agree that the site is ready for the work.

Your responsibilities

You agree to give us accurate and complete information about the systems, the site and the people involved in the project. You agree to nominate a contact person who can make decisions about the project and who can attend a cut-over sitting. You agree to respond to our questions within a reasonable time so that the schedule can be kept.

You agree to obtain any permission that is needed for us to enter the site, to access the systems, and to carry out the work, including permission from any landlord, building manager or third party system owner. You agree to ensure that the systems we are asked to integrate are safe to work on and that any live circuit is identified to us before work begins.

You agree not to misuse this website, not to attempt to gain unauthorised access to our systems, and not to use the website in a way that interferes with its operation or with the use of the website by another person.

Site access and safety

You agree to provide safe and timely access to the site, including parking where it is available, a suitable working area, and the power and network connections that the work requires. You agree to tell us about any hazard on the site, including asbestos, live services, restricted areas or security procedures, before our engineer arrives.

Our engineers may suspend work if they believe that the site is unsafe or that continuing would put a person or the system at risk. If work is suspended for a reason within your control, the time lost may be charged at our standard rates, and the schedule may need to be revised.

Visitors to the Paya Lebar control room are recorded and supervised. You agree to give us the names of the people who will attend a sitting in advance, and to ensure that each visitor follows the instructions of the duty team while in the room.

Fees and payment

Fees are set out in the quotation or statement of work. Fees are payable in the currency stated and within the period stated on the invoice. Where no period is stated, the invoice is payable within thirty days of the date of the invoice.

Fees may be calculated on a time and materials basis, on a fixed price basis, or on a combination of the two. Where fees are calculated on a time and materials basis, we keep a record of the time spent and we make that record available to you on request.

If an invoice is not paid on time, we may charge interest on the overdue amount at a rate of one percent per month or the maximum rate permitted by law, whichever is lower. We may also suspend work until the outstanding amount is paid, and we will tell you before we suspend. You agree to pay any reasonable cost we incur in recovering an unpaid amount.

All fees are exclusive of any tax that applies, unless the quotation says otherwise. Any tax will be added to the invoice at the rate required by law.

Changes and variations

Either party may ask for a change to the scope, the schedule or the deliverables. A change takes effect only when both parties agree to it in writing. We will set out the effect of the change on the fee and the schedule before the change is agreed, so that you can decide whether to proceed.

If a change affects work that has already been completed, we may charge for the additional time and materials needed to adjust that work. We will discuss the position with you before we carry out the adjustment, unless the change is urgent and you have asked us to act immediately.

If you delay a decision that we need in order to proceed, we may record the delay in the project file. If the delay causes a missed booking, the cancellation provisions in these terms apply.

Cancellation and postponement

You may cancel a booking by written notice. If you cancel a relay check run, a watch window or a cut-over sitting with less than five business days of notice, we may charge the fee for the time that was reserved, because the control room and the duty engineer have already been committed.

If you postpone a booking, we will try to find another slot that suits both parties. A postponement made with less than five business days of notice is treated as a cancellation for the purpose of the fee, unless we are able to fill the original slot.

We may cancel or postpone a booking if the site is not ready, if a required permission has not been obtained, or if the work would be unsafe. We will tell you promptly and we will work with you to agree a new date. If we cancel for a reason that is not within your control, we will not charge for the cancelled booking.

Handover and acceptance

A project reaches handover when the handover note has been written at the desk, the cut-over sitting has taken place, and the client has confirmed the note in the room. At that point the deliverables are accepted, unless the client raises a specific defect during the sitting and the parties agree to deal with it after the sitting.

If the client does not attend a scheduled cut-over sitting, and does not reschedule within ten business days, we may treat the deliverables as accepted on the basis of the record in the project file. We will tell you in writing before we take this step, so that you have the chance to arrange another sitting.

Acceptance does not limit any right you have under the warranty section below. It does confirm that the wall and the note have been seen by the client and that the handover has taken place in the room.

Warranty and defects

We warrant that the services will be carried out with reasonable skill and care by suitably qualified people. We warrant that the deliverables will be prepared in accordance with the agreed scope and will be free from material error at the time of handover.

If you believe that the services or a deliverable do not meet this warranty, tell us in writing within thirty days of handover. We will investigate, and if we agree that the warranty has not been met, we will correct the work at no additional fee. If correction is not possible, we will discuss an appropriate remedy with you.

The warranty does not cover a fault that is caused by a change made by you or a third party, by equipment that we did not supply, by a failure of the site power or network, or by normal wear and tear. The warranty also does not cover a fault that arises because the information you gave us was inaccurate or incomplete.

Limitation of liability

Nothing in these terms excludes or limits liability that cannot be excluded or limited by law, including liability for death or personal injury caused by negligence, and liability for fraud.

Subject to the previous paragraph, we are not liable for indirect or consequential loss, loss of profit, loss of revenue, loss of business, loss of goodwill, or loss of data, however arising and whether or not we were told that the loss was possible. Our total liability under these terms is limited to the fee paid for the service to which the claim relates.

We are not liable for a delay or a failure that is caused by a matter outside our reasonable control, as described in the force majeure section below. You are responsible for keeping a backup of any data that you hold, and for ensuring that your own systems remain safe when our work is carried out.

Indemnity

You agree to indemnify us against any claim, loss or cost that arises from your breach of these terms, from information you gave us that was inaccurate or incomplete, or from your failure to obtain a permission that was needed for the work. This indemnity does not apply to the extent that the claim is caused by our own negligence or breach of these terms.

We agree to indemnify you against any claim that the deliverables, as provided by us, infringe the intellectual property rights of a third party, provided that you tell us promptly about the claim and allow us to conduct the defence. This indemnity does not apply if the claim arises from a change made by you or a third party, or from your use of the deliverables outside the scope of the project.

Where a claim is covered by this section, the party that is indemnified agrees to give the other party reasonable assistance and not to settle the claim without the other party consent.

Intellectual property

We own the intellectual property in our methods, our templates, our software and our general know how. On payment of the fee, we grant you a licence to use the deliverables for the purpose for which they were provided, including the operation, maintenance and internal audit of the integrated wall.

You own the intellectual property in the information and materials that you give us for the project, and you grant us a licence to use that material for the purpose of delivering the services. We do not acquire any ownership of your material by working with it.

This website and its content are owned by the Company or its licensors. You may read the website and print a copy for your own use, but you may not copy, modify, distribute or republish the content for a commercial purpose without our written permission.

Confidentiality

Each party agrees to keep confidential the information of the other party that is marked as confidential or that a reasonable person would understand to be confidential. Each party agrees to use that information only for the purpose of the project, and to disclose it only to the people who need it for that purpose.

The duty of confidentiality does not apply to information that is already public, that was lawfully known before the project began, that is independently developed, or that is required to be disclosed by law. Where disclosure is required by law, the party that must disclose agrees to tell the other party first where it is lawful to do so.

The duty of confidentiality continues after the project ends and after these terms come to an end. We keep the records of a project confidential in the same way that we keep the records of the control room confidential.

Privacy and data

Our handling of personal information is described in our Privacy Policy, which forms part of these terms. By using this website or by engaging us for a service, you acknowledge that we will handle personal information in the manner described in the Privacy Policy.

Where we process personal information on your behalf, we do so on your instructions and only for the purpose of the project. We keep the information secure, we limit access to the people who need it, and we return or delete it at the end of the project in accordance with the Privacy Policy and any written agreement between us.

You agree to ensure that you have a lawful basis for sharing personal information with us, and that any person whose information you share has been told about the sharing in the manner required by the law that applies to you.

Force majeure

Neither party is liable for a failure or delay in performing an obligation under these terms if the failure or delay is caused by an event outside the reasonable control of that party. Such events include natural disaster, fire, flood, epidemic, war, civil unrest, a failure of a public utility or network, and a government restriction.

The party affected by the event agrees to tell the other party promptly and to take reasonable steps to reduce the effect of the event. If the event continues for more than thirty days, either party may end the affected part of the project by written notice, and we will account to you for work completed up to that point.

This section does not excuse a party from paying an amount that was already due before the event occurred.

Termination

Either party may end the project by written notice if the other party commits a material breach of these terms and does not remedy the breach within fourteen days of a written request to do so. Either party may end the project immediately if the other party becomes insolvent or ceases to trade.

If the project ends, you agree to pay for the work completed and for any non-cancellable commitment that we have made on your behalf up to the date of ending. We agree to return or delete your confidential information in accordance with your instructions and the Privacy Policy.

Sections of these terms that by their nature should survive the end of the project, including the sections on confidentiality, intellectual property, liability and governing law, continue to apply after the project ends.

Governing law

These terms are governed by the law of Singapore. The parties agree to submit to the non-exclusive jurisdiction of the courts of Singapore for any dispute that arises out of or in connection with these terms or the services.

Before starting a formal dispute, the parties agree to try to resolve the matter through discussion in good faith. A party who wishes to begin a discussion should write to the other party, setting out the issue and the outcome that is sought, and the other party agrees to respond within ten business days.

If a provision of these terms is found to be invalid or unenforceable, the remaining provisions continue to apply. The invalid provision is to be read down to the extent necessary to make it valid, or, if that is not possible, removed. A failure to enforce a provision is not a waiver of that provision.
